Investments facilitated through Hypervestor are typically structured through Special Purpose Vehicles (SPVs) administered by third-party providers, including Sydecar. Each investor participates as a member of an SPV, which in turn invests the aggregated capital into the underlying company.
By participating in an SPV, you acknowledge and agree to the following:
You will receive a membership interest in the SPV, not a direct equity interest in the underlying company
The SPV, in turn, receives whatever form of stake is offered by the underlying company's funding round (which may include equity, SAFEs, convertible notes, or other instruments)
Hypervestor does not take custody of investor funds at any time; all funds are transmitted directly through third-party SPV administrators
Your rights as an investor are governed by the SPV's operating agreement and subscription documents, not by this website
You are not permitted to sell, transfer, or otherwise dispose of your SPV interest except in limited circumstances expressly permitted under the governing documents (such as certain involuntary transfers resulting from death or legal decree)
Participation in any opportunity is entirely voluntary and conducted on a deal-by-deal basis. No investor is obligated or encouraged to participate in any specific opportunity.
Hypervestor does not charge upfront management fees.
Each investment opportunity may be subject to a nominal deal setup fee, which is passed through in full to the third-party SPV administrator (such as Sydecar) to cover administrative, legal, compliance, and tax reporting costs associated with operating the SPV over its lifetime. This fee is charged by and for the benefit of the SPV administrator, not Hypervestor.
Hypervestor is compensated solely through carried interest — a percentage share of net profits generated by an investment, payable only after all participating investors have received a full return of their contributed capital. The applicable carried interest rate for each specific opportunity will be disclosed on that opportunity's deal page prior to any investor commitment.
Hypervestor has no other economic interest in any investment and does not receive referral fees, placement fees, or any other compensation in connection with any offering.
Hypervestor makes no guarantee of any kind with respect to:
Access to any specific investment opportunity
Allocation in any offering, which may be oversubscribed or limited
The continued availability of any opportunity at any given time
Investment returns, profitability, or any financial outcome
The accuracy or completeness of information provided by portfolio companies
Opportunities may be withdrawn, modified, or closed without prior notice. Past investments do not guarantee future access to comparable opportunities. Any indication of interest submitted by a prospective investor does not constitute a binding commitment and does not guarantee allocation.

Investors should not expect regular reporting or updates regarding portfolio companies. Portfolio companies are under no obligation to provide updates to Hypervestor or to SPV investors, and the frequency and substance of any updates are entirely at the discretion of each company's management.
Hypervestor does not guarantee:
Regular reporting or financial updates on any investment
Notification of material events affecting portfolio companies
Ongoing performance monitoring or transparency
The most meaningful public signal of a portfolio company's progress is typically the announcement of subsequent funding rounds. Hypervestor may, at its sole discretion, elect to circulate updates received from portfolio companies, but assumes no obligation to do so.
Limitation of Liability. To the maximum extent permitted by applicable law, Hypervestor and its affiliates, officers, directors, employees, members, managers, agents, and successors (collectively, "Hypervestor Parties") shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages of any kind — including but not limited to loss of capital, loss of profits, loss of data, or loss of business opportunity — arising out of or in connection with:
Your use of or inability to use this platform
Your reliance on any information provided on this platform

The acts or omissions of any third-party service provider
Any unauthorized access to or alteration of your information
This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Hypervestor has been advised of the possibility of such damages.
Indemnification. You agree to indemnify, defend, and hold harmless the Hypervestor Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your violation of these terms; (c) your misrepresentation of your accreditation status; or (d) your investment decisions.
These terms and any dispute arising out of or related to your use of this platform or any investment facilitated through Hypervestor shall be governed by and construed in accordance with the laws of the Delaware, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these terms or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wilmington, Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You waive any right to participate in a class action lawsuit or class-wide arbitration in connection with any dispute arising from your use of this platform or participation in any investment.

Investing in early-stage, private technology companies involves a high degree of risk that is materially greater than investing in publicly traded securities. By participating in any investment opportunity through Hypervestor, you expressly acknowledge and accept the following risks:
The most likely outcome of any individual early-stage investment is a complete and total loss of all capital invested. You should invest only capital that you can afford to lose entirely without affecting your financial security or lifestyle.
Private investments are highly illiquid. There is no public market for SPV interests or for the underlying company securities. You will not be able to sell, transfer, or otherwise liquidate your investment prior to a qualifying liquidity event (such as an acquisition or IPO), which may never occur. Holding periods of 7–15 years or longer are typical in venture investing, and even then, a liquidity event may not materialize.
Past performance of any deal, investment, fund, or operator is not indicative of future results. There is no guarantee that any investment made through Hypervestor will be profitable, return principal, or outperform any benchmark.
Portfolio companies may raise additional capital in the future at valuations, terms, or structures that dilute the economic interest of existing investors, potentially materially.
Investors in SPVs hold minority, passive interests with limited or no voting rights, governance influence, or control over the operations, strategy, or decisions of portfolio companies.
The regulatory environment governing private investments, accredited investor rules, and securities laws may change in ways that adversely affect investors or the platform's ability to operate.
Investing in a small number of companies significantly increases the risk of material loss. Diversification across many investments (industry guidance often suggests a minimum of 40–50 venture investments) is widely considered essential to achieving venture-scale returns.
Hypervestor may discontinue operations. Third-party providers such as Sydecar may change their terms, pricing, or operations. Such events could affect the administration of your investments.
